Partner Program Agreement

1. Overview
This Partner Program Agreement ("Agreement") governs your participation in the Niravu Partner Program ("Program"). The Program is operated by AspenTech Consulting Group, Inc., operating as Aspen94 and Niravu ("Niravu," "we," "us," or "our").
By applying to and participating in the Program, you ("Partner," "you," or "your") agree to the terms of this Agreement. This Agreement is supplementary to the Niravu Terms of Service and Privacy Policy, which also apply to your use of the platform.
2. What Niravu Provides
Upon acceptance into the Program, Niravu will provide you with:
- A unique partner discount code that gives your clients 30% off any Niravu subscription for the lifetime of their subscription.
- A free NFR (Not for Resale) account — one Enterprise Annual subscription for your firm’s own Zoho CRM environment, at no cost, so you can experience the full product firsthand.
- Partner attribution — your unique code is tracked so you receive credit for every client you bring to the platform.
- Roadmap access — partners see new features before they ship and are invited to optional roadmap conversations with our team.
- Educational materials — partner guides, report interpretation resources, and product documentation to help you understand and communicate findings to your clients.
3. Client Relationship Protection
When you bring a new client to Niravu, we respect that relationship. Specifically:
- We will not solicit your clients for consulting, development, implementation, training, optimization, or support services (“Additional Services”) that compete with your practice.
- If a client you referred contacts us requesting Additional Services, we will redirect them back to you as their partner of record.
- Client relationship protection survives termination of this Agreement indefinitely for clients you originally referred to the platform.
This protection covers Additional Services only. We retain the right to communicate with all users about the Niravu platform itself, including product updates, billing matters, and technical support.
3a. Existing Relationships
Client relationship protection applies only to clients you originate — meaning clients who had no prior or existing relationship with Aspen94 or Niravu before you referred them. If a client was already an Aspen94 or Niravu customer, prospect, or contact before your referral, the use of your partner discount code does not establish relationship protection for that client.
4. Partner Responsibilities
4a. Report Interpretation and CRM Guidance
As a partner, you own the consultative conversation with your clients. When your client receives a report, you are responsible for interpreting the findings, explaining the scores, and providing CRM guidance based on the results.
We will provide direct technical support for the Niravu platform only — connectivity issues, scan errors, billing questions, and platform functionality. If a client contacts us with questions about what their report means or what CRM changes to make, we will redirect them to you.
4b. Accurate Representation
You agree to represent Niravu accurately to your clients. Reports are informational tools based on observable CRM metadata. They are not guarantees, warranties, and should not be considered professional advice. You will not overstate the capabilities of the platform or make commitments on our behalf.
4c. Client Authorization
You will only scan or recommend scanning Zoho CRM environments for which you have explicit authorization from the account owner. You will not use the platform to access any CRM environment without proper consent.
4d. Prohibited Conduct
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, scoring methodology, assessment algorithms, or proprietary analytical techniques of the Service.
- Use the Service, its outputs, or any information obtained through the Program to develop, improve, or contribute to a competing product or service.
- Share or disclose the Service’s scoring methodology, proprietary techniques, or non-public program details with third parties.
- Misrepresent your relationship with Niravu or Aspen94, or imply any endorsement, certification, or affiliation beyond your participation in the Program.
5. Pricing and Billing
Your clients receive 30% off list pricing on any Niravu subscription when they use your unique partner code. This discount applies for the lifetime of the client’s subscription and survives plan changes and renewals.
Billing is handled directly between Niravu and the end client through Zoho Billing. Partners are not responsible for collecting payments or managing client billing.

6. NFR Account Terms
Your free NFR Enterprise Annual subscription is provided for your firm’s internal use only — specifically, to scan and assess your own Zoho CRM environment so you can understand the product you recommend to clients.
- One NFR account per partner firm.
- The NFR account may not be resold, transferred, or used for client environments.
- The NFR account remains active for the duration of your participation in the Program.
- If your participation in the Program ends, the NFR account will be converted to a free-tier account.
7. Disclaimers
Niravu reports are generated from observable Zoho CRM metadata using our proprietary scoring methodology. Reports provide informational assessments and are not guarantees, warranties, and should not be considered professional advice.
We do not guarantee that scores, findings, or recommendations will produce any specific outcome for you or your clients. You and your clients are solely responsible for evaluating and implementing any changes to CRM environments.
We are not responsible for any decisions made by you or your clients based on reports, or for any outcomes resulting from CRM changes made in response to findings.
8. Termination
Either party may terminate this Agreement at any time with 30 days’ written notice to the other party.
We may terminate this Agreement immediately and without notice if you:
- Materially misrepresent Niravu or its capabilities to clients.
- Scan or access CRM environments without proper authorization.
- Violate the Niravu Terms of Service.
- Engage in conduct that harms the reputation of Niravu, Aspen94, or the Program.
Upon termination:
- Your partner discount code will be deactivated. Existing client subscriptions using your code will continue at their current discounted rate until they cancel or their current billing period ends.
- Your NFR account will be converted to a free-tier account.
- Client relationship protection survives termination indefinitely for clients you originally referred (see Section 3).
9. Modifications
Niravu may update this Agreement from time to time. We will notify active partners of material changes at least 30 days before they take effect. Continued participation in the Partner Program after the effective date of changes constitutes acceptance.
