Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and AspenTech Consulting Group, Inc., operating as Aspen94 and Niravu (“Niravu,” “we,” “us,” or “our”), governing your access to and use of the Niravu Atlas platform and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Niravu is a software-as-a-service (SaaS) platform that performs automated system assessments of Zoho CRM environments. The Service:

  • Connects to your Zoho CRM via OAuth 2.0 with read-only permissions you explicitly authorize
  • Reads configuration metadata including module structure, field definitions, automation assets, user records, role and profile assignments, and integration settings
  • Produces scored assessments, findings, recommendations, and downloadable reports
  • Does NOT access, read, store, or process your customer data records, contact information, deal data, email content, notes, attachments, or any personally identifiable information (PII) contained in your CRM records

The Service is designed to assess the structural health and configuration quality of your Zoho CRM implementation. It is not a data analytics, business intelligence, or customer data processing service.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately at hello@niravu.ai if you become aware of any unauthorized access to or use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

4. Zoho CRM Connection and Authorization

The Service connects to your Zoho CRM through Zoho’s official OAuth 2.0 authentication protocol. When you connect your CRM, you will be redirected to Zoho’s authorization page where you explicitly approve the specific permissions (scopes) the Service requests.

You represent and warrant that:

  • You have the authority to authorize the Service to access your Zoho CRM environment
  • You are an administrator or authorized user of the Zoho CRM account you connect
  • Your use of the Service complies with your organization’s internal policies and any applicable agreements with Zoho Corporation

You may revoke the Service’s access to your Zoho CRM at any time through your Zoho account settings. Revoking access will prevent future scans but will not delete previously generated reports or assessment data.

5. Data Practices and Metadata-Only Access

The Service operates on a strict metadata-only basis. We access and process only your Zoho CRM’s configuration and structural metadata, including but not limited to:

  • Module names, types, and classifications
  • Field definitions, data types, and layout assignments
  • Automation configurations (workflow rules, custom functions, blueprints, validation rules)
  • User records (names, emails, roles, profiles, and status)
  • Integration settings and connected application footprints
  • Backup configuration and scheduling metadata
  • Relationship mappings and related list definitions

We do NOT access, read, copy, store, or transmit:

  • Individual contact, lead, deal, or account records
  • Email content, notes, attachments, or activity details
  • Financial data, pricing, quotes, or invoice content
  • Any other business data stored within your CRM records

No customer data is currently processed by any artificial intelligence model, large language model, or machine learning system at any stage of the assessment. All scores, findings, and recommendations are produced by deterministic, rules-based logic.

We may incorporate AI-assisted analysis features in the future to enhance the Service. If we do, we will notify you in advance and you may opt out of AI-assisted features at any time through your account settings. Any future AI-assisted features will operate under the same metadata-only access principles described in these Terms — your CRM’s business data records will never be processed by AI.

6. Subscription Plans and Billing

The Service is offered under subscription plans with varying features, scan frequencies, and pricing as described on our website at niravu.tech. Your first scan is free and does not require a credit card.

Paid subscriptions are billed monthly or annually through Zoho Billing. By subscribing to a paid plan, you authorize us to charge the payment method you provide on a recurring basis at the applicable subscription rate.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods, except as required by applicable law.

We reserve the right to modify pricing for future subscription periods upon reasonable notice. Price changes will not apply to your current billing period.

7. Promotional Offers and Coupons

We may offer promotional pricing, discount codes, or limited-time offers at our discretion. Promotional offers:

  • Apply only to the terms specified in the offer (e.g., first year, annual plans only)
  • Cannot be combined with other offers unless explicitly stated
  • May be subject to expiration dates and usage limits
  • Are non-transferable and have no cash value
  • May be modified or discontinued at any time without prior notice

After any promotional period ends, your subscription will renew at the standard published rate unless you cancel before the renewal date.

8. Acceptable Use

You agree to use the Service only for its intended purpose of assessing your own Zoho CRM environment or environments for which you have explicit authorization. You agree not to:

  • Use the Service to access, scan, or assess any Zoho CRM environment without proper authorization from the account owner
  • Attempt to circumvent, disable, or interfere with the Service’s security features, scan frequency limits, or access controls
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or scoring methodology of the Service
  • Use the Service to develop a competing product or service
  • Resell, sublicense, or redistribute access to the Service without a written partner agreement
  • Use the Service in any manner that violates applicable law or regulation
  • Provide false or misleading information in connection with your account

9. Intellectual Property

The Service, including its scoring methodology, assessment algorithms, report templates, architecture map generation, data analysis techniques, and all associated documentation, is the proprietary intellectual property of AspenTech Consulting Group, Inc.

Reports and assessment outputs generated by the Service for your CRM environment are provided for your internal business use. You may share reports with your authorized consultants, advisors, and service providers. You may not publicly publish, redistribute, or use reports for competitive benchmarking of Zoho Corporation or any other third party.

Your CRM metadata and configuration data remain your property. We claim no ownership rights over your data.

10. Reports, Scores, and Recommendations

The Service provides system health assessments based on observable configuration metadata. Scores, findings, and recommendations represent our analysis of your CRM’s structural characteristics based on our proprietary methodology.

Reports and scores are:

  • Informational tools to help you understand and improve your CRM implementation
  • Based on metadata observable at the time of each scan
  • Not guarantees of system performance, security, compliance, or fitness for any particular purpose
  • Not substitutes for professional consulting, security audits, compliance assessments, or technical due diligence

We make no representation that following our recommendations will produce any specific outcome. You are solely responsible for evaluating and implementing any changes to your CRM environment.

11. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We are not responsible for disruptions caused by Zoho’s platform availability, API changes, rate limiting, or access restrictions imposed by Zoho Corporation.

Support inquiries may be directed to hello@niravu.ai. We will make commercially reasonable efforts to respond to support requests in a timely manner.

12. Third-Party Services

The Service integrates with and depends on third-party services, including but not limited to Zoho CRM, Zoho Billing, and cloud hosting infrastructure. Your use of the Service is also subject to the terms and conditions of these third-party services.

We are not responsible for the availability, performance, or actions of any third-party service. Changes to third-party APIs, terms, or access policies may affect the functionality of the Service.

13. Confidentiality

We treat all information obtained through scanning your Zoho CRM environment as confidential. We will not disclose your CRM metadata, assessment results, scores, or any information about your system configuration to any third party, except:

  • As necessary to provide the Service (e.g., cloud hosting, report rendering)
  • As required by law, regulation, or legal process
  • With your explicit written consent
  • In aggregated, anonymized form that does not identify you or your organization

You agree to treat the Service’s scoring methodology, assessment algorithms, and proprietary analytical techniques as confidential and not to disclose them to third parties.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY SCORES, FINDINGS, RECOMMENDATIONS, OR OTHER OUTPUTS OF THE SERVICE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASPENTECH CONSULTING GROUP, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

16. Indemnification

You agree to indemnify, defend, and hold harmless AspenTech Consulting Group, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your unauthorized use of another party’s Zoho CRM environment
  • Any dispute between you and a third party arising from your use of the Service

17. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Service. We may terminate or suspend your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms.

Upon termination:

  • Your right to access the Service ceases immediately
  • We may delete your account data, including generated reports, after a reasonable retention period (currently 90 days)
  • Provisions that by their nature should survive termination will survive, including Sections 9, 13, 14, 15, 16, and 18

We reserve the right to discontinue the Service entirely upon 90 days’ written notice to active subscribers.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of laws provisions.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Oakland County, Michigan.

Before initiating any formal dispute resolution, the parties agree to attempt to resolve disputes through good faith negotiation for a period of at least thirty (30) days.

19. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on our website and updating the “Last Updated” date. If we make material changes that affect your rights, we will provide at least thirty (30) days’ advance notice via the email address associated with your account.

Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must cancel your subscription and stop using the Service before the effective date.

20. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Niravu regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet disruptions, or third-party service outages.
